Alisa Baker, General Counsel Associates LLP

Alisa J. Baker is a corporate lawyer who specializes in counseling companies and professionals with respect to employee benefits and compensation matters, including equity and executive compensation, strategic stock planning and plan design, executive contract negotiation, ERISA issues and option litigation consulting. Ms. Baker's expertise is built on more than 18 years of law practice in Silicon Valley, where she has advised companies ranging from technology start-ups to Fortune 100 corporations. In 1991 she joined General Counsel Associates LLP as its fourth partner, after practicing with the tax and benefits groups at Wilson Sonsini Goodrich & Rosati and Fenwick & West. In 2000-2001, she took time out from her law practice to serve as Executive Vice President and General Counsel of Snapfish.com Corporation, an on-line consumer photography service headquartered in San Francisco. She rejoined GCA (www.gcalaw.com) and resumed her practice in January 2002.

Ms. Baker, who has held teaching positions at Stanford Law School and Golden Gate University, speaks and writes frequently on issues related to her practice. Her articles have appeared in publications ranging from the Wall Street Journal to the Journal of Taxation. Ms. Baker's equity compensation treatise, A Comprehensive Overview of Employee Stock Options and Related Plans, is the core text for Santa Clara University's national Certified Equity Professional Institute (CEPI) and has been widely republished as a source for professionals, both separately and as the lead chapter in the book Stock Options: Beyond the Basics (NCEO: 1999-2001). In fall 2002, NCEO will publish the second, expanded edition as a separate volume. Over the years, Ms. Baker has been a regular speaker and panelist for the annual conferences of ShareData/E*Trade Business Solutions, the National Association of Stock Plan Professionals (NASPP) and the National Center for Employee Ownership (NCEO), and she has lectured frequently for local NASPP chapters, seminars, industry events and employee user groups. Currently, Ms. Baker serves on the CEPI Board of Advisors and the NCEO Stock Option Advisory Board.

Ms. Baker received her B.A. and M.A. with honors in English, as well as an M.S. in higher education with distinction from the University of Pennsylvania in Philadelphia. She received her J.D. with honors from Georgetown University Law Center in Washington, D.C., where she was an associate editor of the Georgetown Law Journal.
